Terms and Conditions

IMPORTANT

These Terms and Conditions shall apply to all consulting or other services provided by Point Road Group and/or Resume Strategists. Please read this carefully and in full.

 

PURPOSE

The Purpose of these Terms & Conditions is to set forth the terms and conditions under which Point Road Group and/or Resume Strategists (hereinafter referred to as “PRG/RS”) will provide consulting or other services to individual and corporate clients (a PRG/RS client is herein referred to as “Client”).

Client hires PRG/RS to provide consulting or other services related to career advancement and/or personal branding. Client hires PRG/RS to provide services only to Client directly and these Terms & Conditions shall become effective on the date the Client expresses acceptance, as follows: (a) Acceptance for individual clients includes electronically signing a Client Agreement or a Client Agreement Extension and paying a deposit or paying for services in full (if required by service selection); and (b) Acceptance for corporate clients includes signing an engagement proposal and paying a deposit or paying for services in full (if required by service selection).

In consideration of the mutual promises herein contained, the parties agree to the following terms and conditions. No other terms or conditions shall apply unless agreed to in writing by PRG/RS and Client.

 

PAYMENT

Individual Clients

Payment is due in accordance with the fee payment structure and schedule outlined in the Client Agreement. Unless otherwise indicated, payment is due in full upon commencement of services for the price discussed with a member of the PRG/RS team. Depending on the service provided, commencement is defined by either an initial meeting in-person or via phone/Skype, or an email exchange.

Certain services require a $300 non-refundable deposit to secure Client’s initial meeting date/time. If a deposit is required, it is communicated to Client during their fee discussion with a member of the PRG/RS team and in a subsequent email. This deposit must be made by credit card through Square. Client will receive an email invoice from Square requesting payment. Client is given 48 hours from when the email is sent by PRG/RS to process the payment. If payment is not received in the time required, PRG/RS reserves the right to release the proposed meeting date/time. If a deposit is required, full payment of the balance of the fee is due upon Client’s initial scheduled meeting.

Payment by cash is accepted for in-person meetings only.

Payment by personal or business paper check is accepted for either in-person or phone/Skype meetings. If the meeting is via phone/Skype, the check must be received prior to the meeting. If PRG/RS does not receive the check, then PRG/RS reserves the right to cancel the meeting and reschedule it following receipt of the check.

Payment by personal or business electronic check/direct payment through a vendor of Client’s choosing is accepted for either in-person or phone/Skype meetings, provided that PRG/RS will not incur any fees to receive or process payment. If payment is made by electronic check/direct payment, confirmation of payment must be sent to support@pointroadgroup.com.

Payment by credit card is accepted for either in-person or phone/Skype meetings. If payment is made by credit card for any fee, including regular services, rush charges or engagement reactivation, a processing charge (Square’s fee) will be added to (and included in) Client’s total fee amount. Deposit payments (if required) do not incur an additional processing charge.

If Client prefers payment by credit card, Client must select on the Client Agreement or Client Agreement Extension either to receive an email invoice for payment (payable through Square prior to the initial meeting) or pay in person and present a credit card to be swiped prior to the start of their initial meeting. The processing charge applies to both credit card options.

If payment for any service is not received in full at the commencement of services provided by PRG/RS, PRG/RS reserves the right to suspend or discontinue its services until timely payment is received.

Corporate Clients

Payments for customized services for corporate clients are subject to the fee payment structure and schedule outlined in a PRG/RS engagement proposal submitted to Client. Signed acceptance of the proposal by Client indicates agreement and full acceptance of the specified payment structure and schedule.

Payment by business paper check is accepted and the check must be received prior to commencement of the engagement. If PRG/RS does not receive the check, then PRG/RS reserves the right to suspend commencement of the engagement until receipt of the check.

Payment by electronic check/direct payment is accepted provided that PRG/RS will not incur any fees to receive or process payment and confirmation of payment must be sent to support@pointroadgroup.com prior to commencement of the engagement. If PRG/RS does not receive confirmation of payment, then PRG/RS reserves the right to suspend commencement of the engagement until receipt of the check.

Payment by credit card is accepted and a processing charge (Square’s fee) will be added to (and included in) Client’s total fee amount. Credit card payment must be made prior to commencement of the engagement.

 

FEES

Individual Clients

Fees for PRG/RS services are quoted during an initial phone consultation. If Client requests additional services beyond what is included in the original Client Agreement, PRG/RS will provide a price quote and Client will be required to pay additional charges before receiving the additional services. If the additional services are requested after the initial engagement has ended, Client will be provided with a Client Agreement Extension for electronic signature, indicating acceptance of the additional fees.

All payments to PRG/RS shall be made in US Dollars regardless of the country in which Client works or resides.

If rush services are requested, additional fees (starting at $400) will be applied and will be quoted to Client during the initial consultation. Rush services must be requested prior to signing the Client Agreement or Client Agreement Extension.

Corporate Clients

Fees for services are quoted in an engagement proposal that is sent to Client. A signed proposal by the Client indicates full agreement of the fee by Client.

If Client requests additional services from PRG/RS beyond what is included in the original signed proposal, PRG/RS will provide a price quote and a proposal addendum for signature, which indicates acceptance, and Client will be required to pay additional fees.

All payments to PRG/RS shall be made in US Dollars regardless of country in which Client operates or does business.

If rush services are requested, additional fees will be applied and will be included in the engagement proposal. Rush services must be requested prior to signing the engagement proposal.

 

REFUNDS AND CANCELLATIONS

Fees paid to PRG/RS by all individual and corporate clients for services rendered are non-refundable.

Individual Clients

Client understands that cancellation of an initial meeting within 3 calendar days notice severely limits the ability of PRG/RS to schedule another Client in the reserved timeslot, thereby causing revenue loss. In addition, as PRG/RS allows significant internal time per Client for all service offerings to provide superior service and quality excellence, PRG/RS may have to delay or to turn away other potential Clients to allow ample time per scheduled Client. Accordingly, Client agrees to accept and be bound to the following cancellation policies, which Client agrees are fair and reasonable:

If Client cancels an initial scheduled meeting once the deposit is paid and the Client Agreement or Client Agreement Extension is signed, the $300 deposit will not be refunded.

If Client cancels or reschedules an initial meeting within 3 calendar days of the scheduled date and a deposit was not collected due to services selected, a $300 non-refundable deposit will be required to reschedule, with the date subject to PRG/RS availability. The remaining balance is due upon the rescheduled meeting date.

Corporate Clients

Cancellation provisions in advance or after commencement of services provided are included in the engagement proposal and a signed proposal by Client indicates acceptance of all terms.

 

SERVICES

Expectations

The work performed by PRG/RS for Client is limited to the description of work on the Client Agreement and Client Agreement Extension for individual clients or the engagement proposal for corporate clients.

PRG/RS offers the experience and ability to perform the services based on Client’s needs and will be performed in a professional manner.

If creation of career materials (e.g. resume, bio, LinkedIn® profile, cover letter) are part of the services to be provided by PRG/RS, they will be created based on information provided during Client meetings as well as information provided on other documents submitted by Client.

Client agrees to make reasonable efforts to be available by email (and telephone if necessary) to respond to questions by PRG/RS to clarify information, provide feedback or any additional information. Failure of Client to provide availability could result in delay of delivery of PRG/RS services. Client shall be clear and specific when responding to all emails, phone calls or any other communication, to facilitate project completion and prompt delivery of services.

PRG/RS is not responsible for a missed deadline by Client if Client has been late in supplying information, feedback or approval of work during at any stage of the process.

PRG/RS operating hours are Monday to Friday 9 AM to 5 PM excluding holidays. PRG/RS is not available to Clients during evenings, weekends or holidays.

Turnaround Time

Individual Clients

Turnaround time for services varies per services selected and paid for by Client.

If resume or bio creation is part of the services being provided to Client, the first draft will be sent to Client via email five (5) to seven (7) business days following the initial in-person/Skype meeting. PRG/RS will make every effort to deliver the draft sooner whenever possible.

Rush services are also available for an additional fee. If Client requires rush services, it must be requested before signing the Client Agreement or Client Agreement Extension. The additional rush fee will be included in the total fee due.

Corporate Clients

Turnaround time for services varies per services selected and paid for by Client.

Expiration and Reactivation

Client understands that PRG/RS schedules a limited number of Clients within any given timeframe in order to provide superior service and quality excellence to Client throughout the entire service engagement. Accordingly, to protect interests of PRG/RS and to protect against potential revenue loss, Client agrees to accept and be bound by the following expiration and reactivation policies, which Client agrees are fair and reasonable:

If PRG/RS is creating a resume or bio for Client and Client fails to provide edits to the emailed first draft of the document within eight (8) business days, that version will be considered the final version of the resume or bio by both parties and no edits will be made after that time without incurring a $400 reactivation fee, unless Client provides prior written notice upon immediate receipt of the first draft that they will not be able to meet the deadline. The reactivation fee is payable by credit card only and Client will receive an invoice from Square for immediate payment. The reactivation fee must be received by PRG/RS prior to reactivation of services.

If Client does not respond to PRG/RS for any subsequent drafts of the resume or bio within twelve (12) business days, that version will be considered the final version of the document by both parties and no edits will be made after that time without incurring a reactivation fee of $400, unless Client provides prior written notice that they will not be able to meet the deadline. The reactivation fee is payable by credit card only and Client will receive an invoice from Square for immediate payment. The reactivation fee must be received by PRG/RS prior to reactivation of services.

If Client does not respond to emails or voicemail by PRG/RS after three (3) months, the Client Agreement or Client Agreement Extension will expire due to inactivity and no remaining services will be completed without incurring a reactivation fee of $850, unless Client provides prior written notice requesting postponement of services. PRG/RS will require additional assessment of Client’s professional experience and expertise etc. during the elapsed time. The reactivation fee is payable by credit card only and Client will receive an invoice from Square for immediate payment. Fees must be received by PRG/RS prior to reactivation of services.

When Client requests reactivation, the restart date for the engagement will be subject to PRG/RS availability and may not be immediate. PRG/RS schedules a limited number of Clients within any given timeframe in order to provide superior service and quality excellence to Client throughout the entire service engagement.

Client Agreements, Client Agreement Extensions and corporate engagement proposals represent work-for-hire agreements and shall expire automatically on completion of contracted services.

Revisions

If resume or bio creation is part of the services provided to the Client, Client is entitled to unlimited revisions prior to authorization to finalize document.

If creation of a LinkedIn® profile or cover letter creation is part of the services being provided to Client, documents are provided as final versions. Minor changes to these documents, however, can be discussed during Client’s follow-up meeting.

Final Proofreading, Accuracy and Approval

Client is responsible for fact-checking all information in documents created or reviewed by PRG/RS, with special focus, but not limited to, job titles, company names, office locations, dates in positions, degrees and certifications obtained, graduation years and clients/customers.

Client represents and affirms that all information provided to PRG/RS is true and correct and does not omit any material information, and Client is responsible for completeness of any documentation. PRG/RS is not liable to Client or any other party for any injury or damage caused by omissions, false statements or other inaccuracies.

Final proofreading of any materials created or reviewed by PRG/RS is the responsibility of Client.

Final approval of a resume or bio must be authorized by Client and provided in writing via email. If the services purchased by Client also include creation of a LinkedIn® profile or cover letter, these documents will not be created until the resume or bio is approved and finalized. If Client is receiving a resume and bio, the resume must be finalized and approved before the bio is written.

Updates

If an individual or corporate Client would like to update materials previously written or reviewed by PRG/RS (e.g. resume, LinkedIn® profile, bio, cover letter), because of new information (receipt of additional responsibilities, promotion or board appointment, secured a new position, received a certification or degree etc.), Client will contact PRG/RS to discuss the update. An additional fee will be required to update materials and the amount will depend on the nature of the update, amount of time that has elapsed since the client last worked with PRG/RS and the materials Client would like to update. A fee quote will be provided to Client during the initial discussion about the update and a Client Agreement Extension will be sent to the Client for electronic signature.

 

ELECTRONIC FILES

PRG/RS emails all documents (resumes, LinkedIn® profiles, cover letters, bios) in Microsoft Word only. PDF format of documents are available when requested. PRG/RS does not guarantee documents will retain all original intended formatting features, as there may be variations in individual Client software or hardware. Client is responsible to ensure proper formatting of their documents on their own devices. PRG/RS will not provide technical support on document formatting.

 

PRIVACY POLICY

PRG/RS is strongly committed to protecting Client privacy and confidential information.

All information provided to PRG/RS (via web inquiry form, email, other forms of written communication, phone call or in person) is strictly for the use of PRG/RS in connection with providing the services to Client and will not be shared with any third party, except to the extent necessary when processing credit card payment via Square or when signing a Client Agreement via Adobe Sign.

Square and Adobe Sign adhere to industry standards in electronic data security including PCI DSS compliance. Please refer to the respective company websites for further information: https://squareup.com/security and https://acrobat.adobe.com/us/en/why-adobe/trust-center.html.

If a job, networking or business opportunity arises that may benefit Client, PRG/RS will ask Client for permission to share contact information (phone number and/or email address) and/or a resume, bio or link to LinkedIn profile®. PRG/RS will not provide any information about the Client unless PRG/RS receives verbal or written permission from Client to do so.

 

LIABILITY

PRG/RS is not liable for any inaccurate, incorrect or misleading information in the materials it creates or reviews. PRG/RS will not confirm or attempt to verify any information provided by Client and will not be responsible for the accuracy or truthfulness of the information provided by Client. PRG/RS is not responsible for consequential damages of any kind that Client may incur from PRG/RS services.

PRG/RS does not directly provide recruiting services. At no time during the working relationship or afterwards, does PRG/RS promise employment or specific outcomes.

 

INDEMNIFICATION

Client agrees to indemnify and hold PRG/RS, its affiliates, officers and employees, harmless from and against any and all claims or demands, including reasonable attorneys’ fees and costs, loss of income, earnings, compensatory claims, punitive damages, loss of consortium, loss of a position or any and all damages resulting from a denial of a position or denial of an interview for a position made by any third party due to or arising out of use of PRG/RS services.

Each party shall indemnify and hold the other harmless for any losses, claims, damages, awards, penalties, or injuries incurred by any third party, including reasonable attorney’s fees, which arise from any alleged breach of such indemnifying party’s representations and warranties made under this Agreement, provided that the indemnifying party is promptly notified of any such claims. The indemnifying party shall have the sole right to defend such claims at its own expense. The other party shall provide, at the indemnifying party’s expense, such assistance in investigating and defending such claims as the indemnifying party may reasonably request. This indemnity shall survive the termination of this Agreement.

 

DISCLAIMER REGARDING ACCURACY OF PRG/RS AND ITS SERVICES

PRG/RS makes no representations or warranties as to the accuracy or reliability of any information about the company, its services, clients, affiliates, officers, employees or any other information not directly written by PRG/RS or supplied by third parties, other companies or collected from publicly available sources.

PRG/RS makes no warranties or representations whatsoever with regard to any product provided or offered by any Vendor, and you acknowledge that any reliance on representations and warranties provided by any Vendor shall be at your own risk.

 

GOVERNING JURISDICTION OF THE COURTS OF NY

PRG/RS operates in the State of New York. As such, PRG/RS is subject to the laws of the State of New York, and such laws will govern all Client Agreements, Client Agreement Extensions and corporate proposals, without giving effect to any choice of law rules. Accordingly, Clients who work with PRG/RS are subject to the laws of the State of New York. Clients consent to the exclusive jurisdiction of federal and state courts within the State of New York and irrevocably consents to the venue in any action brought against them in connection with any breach of their Client Agreement. Client consents to electronic service of process, if available, regarding actions under this agreement.

 

DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY

In no event will PRG/RS or its agents be held liable for any damages of any kind, including without limitation compensatory, direct, indirect, or consequential damages, loss of income or data, loss of or damage to property, and claims of Clients or third parties arising from any Client’s rejection from any educational program, employment offer, or other opportunity of any kind. Clients submit any materials at their own risk. Further, Client agrees to hold PRG/RS harmless from any academic, administrative, criminal or civil proceedings.

 

POLICIES, MODIFICATION AND SEVERABILITY

PRG/RS reserves the right to make changes to our policies, and these Terms & Conditions at any time.

If any of these conditions shall be deemed invalid, void, or for any reason unenforceable, that condition shall be deemed severable and shall not affect the validity and enforceability of any remaining conditions.

 

LEGAL ENTITIES

Resume Strategists Inc. is a New York corporation and Point Road Group is a d/b/a of Resume Strategists.
